DESCRIBING GOVERNMENT EXHIBIT

I, Annie S. Koo, declare:

  1. I am a paralegal specialist with the Litigation II Section of the Antitrust Division ("Division") of the United States Department of Justice. In my capacity as paralegal specialist, I was assigned to the Division's investigation of Microsemi Corporation's ("Microsemi") July 14, 2008 acquisition of substantially all of the assets of Semicoa Corporation ("Semicoa"). I have personal knowledge of the facts stated below, and would be competent to testify to them if called upon to do so.

  2. Saved on the accompanying CD and labeled as Exhibit 3, Attachment A, is an audio presentation in MP3 format ("podcast") available on the internet at

The podcast can be accessed from the home page of what purports to be The Entrepreneurship Institute, http://www.tei.net, by selecting "Hear About It" > "Recent Presentations" > "Microsemi Corporation" (in the Search by Organization menu) > "James Peterson". A printout of the page from which the podcast can be accessed is attached as Attachment B. This page identifies the title of the podcast as "Building a $2B company - Microsemi Corp," the date of the podcast as March 21, 2006, and the speaker as James Peterson, President & CEO, Microsemi Corporation.

  3. Attached hereto as Exhibit 3, Attachment C is a true and correct copy of a transcription of this podcast that I prepared by replaying the podcast at short intervals and recording accordingly. I conducted several listening and transcript editing sessions on December 5, 2008, and December 11, 2008.
