PROPOSED ORDER

WHEREFORE the Court having received the motion of Plaintiff, United States, for entry of the Amended Final Judgment, which the Defendant supports, and

Having reviewed the Plaintiff's Competitive Impact Statement and Certificate of Compliance, along with the other papers filed in this matter, and

Having considered the factors outlined in the Antitrust Procedures and Penalties Act, including 15 U.S.C. § 16(e)(1)(A) & (B), and

WHEREFORE the Court finding for the reasons set forth in the Plaintiff's Motion and Competitive Impact Statement that the proposed Amended Final Judgment is in the public interest and should be entered without further hearings,

IT IS HEREBY ORDERED, ADJUDGED, AND DECREED that the proposed Amended Final Judgment filed on July 15, 2005 is in the public interest and the Amended Final Judgment is hereby entered.
