General Cinema Corporation Has Agreed to
Pay $950,000
in Settlement of Civil Suit Filed January 3, 1991
A stipulation and final judgment were filed
in U.S. District Court in Washington, D.C., by the FTC on behalf
of the U.S. Department of Justice, Antitrust Division, which would
settle the civil suit filed on January 3, 1991 against General
Cinema Corporation. The complaint alleged that General Cinema
Corporation, in acquiring voting securities of Cadbury Schweppes
p.l.e., violated Section (a) of the Hart-Scott-Rodino Antitrust
Improvements Act of 1976, 15 U.S.C. § 18a, which prohibits
certain acquisitions of voting securities or assets until a notification
has been filed with the Department of Justice and the Federal
Trade Commission and a waiting period has expired. The complaint
alleged that General Cinema Corporation was in violation of the
Hart-Scott-Rodino Act from September 11, 1986 through February
25, 1987 with respect to its acquisition of Cadbury stock. Section
(g)(l) of the Hart-Scott-Rodino Act, 15 U.S.C. § 18a(g)(l),
provides that any person who fails to comply with the Act shall
be liable to the United States for a civil penalty of not more
than $10,000 for each day during which such person is in violation
of the Act. General Cinema Corporation has agreed to pay $950,000
within 15 days of entry of the final judgment.

U.S. v. Dietrich & Sons. Inc.

Two-count information was filed in U.S. District
Court in Fargo, North Dakota, charging Dietrich & Sons, Inc.
of Valley City, North Dakota, with conspiring to set prices, rig
bids and allocate customers, in violation of Section 1 of the
Sherman Act, concerning bus and bus body contracts for transporting
children in North Dakota and Montana.
