  There are a couple things I think we need to close out this week:

  1) This offsite meeting with Skilling is on March 7. I think we should put together an agenda
for this (knowing you, you have already thought about it). I think we should first go over the
budget in detail, since this is what I think he is concerned about, then we should go over each of the
  businesses and the prospects for each unit. This is our chance to get a couple of issues
out on the table and have him help us get some air cover and maybe get some corporate
help on eamings/writedowns. Attached is a first draft of an agenda.

  2) We need to close out the reorganization we have been talking about. Kelly wants to get
out the Streamco memo, but I would like to just have one memo to cover streamco and
everything else at once. What are your latest, best ideas on reorg-ing? In our meeting with Crowder the
  other day, I believe he clearly was signaling that he wanted relief on managing the
enterprise group. If we can talk later today or tomorrow, I'll work with Kelly on a memo and
begin talking to some of the guys about the changes. The sooner we move the better.

  3) I know you have the same concern about this as I do, but when in London, see if you can
get Elliott be more committal on his future. I think we are going to need to get a E-DNA guy
over there before Elliott hires too many Non-DNA guys.
