Note to file:

Reg U requirements for repaying Enron Corp. line for advance to NationsBank in
paying down purpose line per James Shelton:

1. Can use all compensation and other income to repay Enron in full - Reg U
doesn't care how often so long as it is from personal funds rather than borrowed
money.

2. Keep documentation and avoid borrowing same day as repayment is made to
Enron.

3. Draw from non-purpose line for personal expenses during this time.
