AFFIDAVIT OF JOANNE KILKEARY

BEFORE ME, the undersigned authority, on this day personally appeared Joanne

Kilkeary, known to me or proved to me by identification, and being by me duly sworn

and deposed, according to law, upon her oath, stated the following:



My name is Joanne Kilkeary. I am over 18 years of age, of sound mind, capable

of making this affidavit, and personal knowledge of the facts stated herein and

hereby affirm that they are true and correct.



2, I am a Senior Manager in Mutual Fund - Financial Administration of UBS Global

Asset Management (US) Inc, (f/ka Mitchell Hutchins Asset Management Inc., and

formerly a subsidiary of PaineWebber Group Inc.) ("UBS Global AM") and as

such I have knowledge of the record attached to this affidavit and I am authorized

to execute this affidavit on behalf of UBS GAM.



3. Attached to this affidavit is the following document: a December 6, 1999

statement from State Street Bank and Trust Company showing the holdings of the

PaineWebber Strategy Fund ("the Fund").



4. The aforementioned record attached to this affidavit, consisting of 1 page, is a

business record of UBS Global AM maintained at the Fund's custodian bank. It

was made at or near the time of the occurrence of the matters set forth in it. This

document was kept on behalf of UBS Global AM in the normal course of

business. The record attached to this affidavit is the original or exact duplicate of

the original.
