NOTICE REGARDING PROPOSED ACQUISITION

Pursuant to Section VII(C) of the Proposed Final Judgment, the United States files this Notice advising the Court that the United States does not object to the proposed acquisition of the New Times Los Angeles assets by an entity which plans to publish an alternative newspaper in metropolitan Los Angeles, California. The Defendants have presented to the United States an Asset Purchase Agreement, dated March 14, 2003, which would transfer the New Times Los Angeles assets to Southland Publishing, Inc. The United States has investigated the proposed acquirer and, after consultation with the Attorneys General of Ohio and California, does not object to the proposed acquisition of the New Times Los Angeles assets by Southland Publishing, Inc.
