CERTIFICATE OF COMPLIANCE WITH PROVISIONS
OF THE ANTITRUST PROCEDURES AND PENALTIES ACT

Plaintiff United States of America, by the undersigned attorney, hereby certifies that, in compliance with the Antitrust Procedures and Penalties Act, 15 U.S.C. § 16(b)-(h) ("APPA" or "Tunney Act"), the following procedures have been followed in preparation for the entry of the proposed Final Judgment in the above-captioned matter:

1. The United States and defendants stipulated to the entry of the proposed Final Judgment on January 13, 2011. At the Court's request, the United States and the defendants re-filed their stipulation on February 17, 2011. This re-filed stipulation was identical to the earlier one except for the last page which contained signature blocks for the parties as well as the Court. This stipulation was entered by the Court on February 20, 2011.

2. The proposed Final Judgment was filed with the Court on January 18, 2011.

4. The Competitive Impact Statement ("CIS") was filed with the Court on January 18, 2011.

5. The proposed Final Judgment and CIS were published in the Federal Register on January 31, 2011. See 76 Fed. Reg. 5,440 (2011).

6. A summary of the terms of the proposed Final Judgment and CIS was published in The Washington Post, a newspaper of general circulation in the District of Columbia, for seven days beginning on January 28, 2011, and ending on February 7, 2011 (see attached).

7. Copies of the Stipulation and Order, proposed Final Judgment, and CIS were furnished to all persons requesting them and made available on the Antitrust Division's Internet site.

8. As required by 15 U.S.C. §16(g), defendants jointly filed with the Court on April 18, 2011, a description of written or oral communications by or on behalf of each defendant, or any other person, with any officer or employee of the United States concerning the proposed Final Judgment.

9. The sixty-day comment period prescribed by 15 U.S.C. §16(b) and (d) for the receipt and consideration of written comments, during which the proposed Final Judgment could not be entered, ended on April 9, 2011.

10. The United States received eight comments on the proposed Final Judgment. The United States filed its Response to Public Comments and the comments themselves with this Court on June 6, 2011. The United States published the Response and the comments in the Federal Register on June 14, 2011, see 76 Fed. Reg. 34,750 (2011), and posted complete versions of the comments with attachments and exhibits on the Antitrust Division's website at http://www.justice.gov/atr/cases/comcast.html.

11. The parties have now satisfied all the requirements of the Antitrust Procedures and Penalties Act, 15 U.S.C. § 16(b)-(h), as a condition for entering the proposed Final Judgment, and it is now appropriate for the Court to make the necessary public interest determinations required by 15 U.S.C. § 16(e) and to enter the proposed Final Judgment.

Department of Justice Antitrust Division Take notice that a proposed Final Judgment has been filed in a civil antitrust case, United States of America, et al. v. Comcast Corp., et al., Civil No. 1:11-cv-00106. On January 18, 2011, the United States filed a Complaint alleging that the proposed joint venture between Comcast Corp. and General Electric Co., which would give Comcast control over NBC Universal, Inc., would violate Section 7 of the Clayton Act, 15 U.S.C. § 18. The proposed Final Judgment, filed simultaneously with the Complaint, requires the defendants to license the joint venture's content to online video programming distributors under certain conditions, relinquish its management rights in Hulu, LLC, and subject itself to Open Internet and antiretaliation provisions, along with other requirements. A Competitive Impact Statement also filed simultaneously by the United States describes the Complaint, the proposed Final Judgment, the industry, and the remedies available to private litigants who may be injured by the alleged violation.
