STIPULATION

WHEREAS, plaintiffs, United States of America, and the States of Arizona, Arkansas, California, Florida, Illinois, Iowa, Louisiana, Nebraska, Nevada, Ohio, Oregon, Rhode Island, Tennessee, Texas, and Wisconsin, and the Commonwealths of Massachusetts and Pennsylvania filed their Complaint, Hold Separate Stipulation and Order, and other documents on January 25, 2010;

AND WHEREAS, New Jersey and Washington would like to join as plaintiffs in this matter;

AND WHEREAS, the United States will bring an unopposed motion for leave to file an Amended Complaint to join New Jersey and Washington as plaintiffs in this matter;

NOW THEREFORE, New Jersey and Washington hereby stipulate as follows:

New Jersey and Washington joining as plaintiffs does not change the status of this matter, as they agree to the settlement. New Jersey and Washington also stipulate that a Final Judgment in the form attached to the January 25 Complaint as Exhibit A may be filed with and entered by the Court, upon the motion of any party or upon the Court's own motion, at any time after compliance with the requirements of the Antitrust Procedures and Penalties Act (15 U.S.C. § 16), and without further notice to any party or other proceedings, provided that the United States has not withdrawn its consent, which it may do at any time before the entry of the proposed Final Judgment by serving notice thereof on Defendants and by filing that notice with the Court.
