ORDER TO SHOW CAUSE -- CRIMINAL CONTEMPT

Petitioner, United States of America, by its attorneys, has filed the attached Petition charging the above-named Respondents with criminal contempt of this Court's Final Judgment in United States v. Baroid Corp., et al., Civil Action No. 93-2621, entered April 12, 1994, and amended September 19, 1996, and alleging that Respondents have violated said Final Judgment.

It appearing to this Court that good cause has been shown therefore, it is hereby

ORDERED that Smith International, Inc. and Schlumberger Ltd. show cause if any there be on the _____ day of ____________ 1999, at _________M. why they should not be adjudged to be in criminal contempt of this Court by reason of their violation of the aforesaid Final Judgment, and why appropriate punishment should not be ordered by this Court.

Sufficient cause appearing therefore, let service of a copy of this Order, together with a copy of the Petition, Appendix, Declaration, and Memorandum annexed and filed herein, be made forthwith on Respondents and in the manner prescribed by Rule 9(c)(1) of the Federal Rules of Criminal Procedure.
