Verizon Communications Inc. and Rural Cellular Corporation, Civil Action No. 08-cv- 0993 (EGS). On June 10, 2008, the United States filed a Complaint alleging that the proposed acquisition by Verizon. Communications Inc. (#Verizon") of the wireless telecommunications services business of Rural Cellular Corporation (#RCC") would violate Section 7 of the Clayton Act, 15 U.S.C. § 18 by substantially lessening competition in six (6) geographic areas. The proposed Final Judgment, filed the same time as the Complaint, requires the divestiture of RCC's mobile wireless telecommunications services businesses in the state of Vermont and in certain areas in the states of New York and Washington in order for Verizon to proceed with its $2.67 billion acquisition of RCC. A Competitive Impact Statement filed by the United States describes the Complaint, the proposed Final Judgment, the industry, and the remedies available to private litigants who may have been injured by the alleged violation.
